1. Acceptance of Terms

By accessing or using Ultimate Pool CRM ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

Ultimate Pool CRM is a cloud-based software platform designed for pool service companies to manage customers, scheduling, routing, billing, and field operations. The Service includes web applications, mobile applications, and related APIs.

3. Account Registration

  • You must provide accurate and complete registration information
  • You are responsible for maintaining the security of your account credentials
  • You must be at least 18 years old to create an account
  • One person or entity may not maintain multiple free accounts
  • You are responsible for all activities that occur under your account

4. Subscription and Payment

4.1 Subscription Plans

The Service is provided free of charge for all users. We reserve the right to introduce optional paid features or change our pricing model with 30 days notice.

4.2 Online Payments

  • Built-in Payments is available on all accounts at no subscription cost
  • A 0.5% platform fee applies to online payments processed through the platform
  • Standard payment processor fees apply separately
  • Failed payments may result in service suspension

4.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.

5. Acceptable Use

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to systems
  • Interfere with or disrupt the Service
  • Use the Service for illegal or fraudulent purposes
  • Resell or redistribute the Service without authorization
  • Scrape or harvest data from the Service

6. Your Data

6.1 Ownership

You retain ownership of all data you upload to the Service ("Your Data"). We do not claim ownership of Your Data.

6.2 License

You grant us a limited license to use Your Data solely to provide and improve the Service.

6.3 Data Export

You may export Your Data at any time through the Service's export features.

6.4 Data Deletion

Upon account termination, we will delete Your Data within 90 days, unless retention is required by law.

7. Intellectual Property

The Service, including all software, designs, text, graphics, and other content, is owned by Ultimate Pool CRM and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without permission.

8. Service Level Agreement

We strive to maintain 99.9% uptime for the Service. Scheduled maintenance will be announced in advance when possible. We are not liable for downtime caused by factors outside our control.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ULTIMATE POOL CRM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claims under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Ultimate Pool CRM from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your account immediately for violation of these Terms. Upon termination, your right to use the Service ceases immediately.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Travis County, Texas.
